This End-User License Agreement and Acceptable Use Policy ("Agreement") is a legal agreement between you (an individual or a single entity, "you") and Kuvvakula Harish Babu (sole proprietorship, trading as Mad Cursor) ("we", "us", the "Licensor") for the Sendora software application and any associated media, updates and documentation (the "Software"). By downloading, installing, activating or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to your compliance with this Agreement and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices/seats covered by your license, for your own lawful use, for the term of your license. The Software is licensed, not sold. We and our licensors retain all rights not expressly granted.

2. License restrictions

You must not, except to the extent permitted by law or by the open-source licenses referenced in Section 9:

resell, sublicense, rent, lease, lend, or distribute the Software or your license keys;
share a single seat across more devices or users than your license permits, or circumvent seat, activation or licensing controls;
reverse engineer, decompile or disassemble the Software, except where applicable law (or an open-source license in Section 9) expressly permits it;
remove or alter any proprietary notices; or
use the Software to build a competing product.

3. Acceptable use (important)

The Software helps you send messages through your own WhatsApp and Telegram accounts. You are the sender and you are solely responsible for everything you send and for whom you send it to. As a condition of your license, you agree that:

Consent. You will only message recipients who have given you valid, demonstrable consent to be contacted by you, or whom you may lawfully contact under applicable law. You will honour opt-out/unsubscribe requests promptly.
No spam. You will not use the Software to send unsolicited bulk or commercial messages, chain messages, or any messaging that is unlawful, deceptive, fraudulent, harassing, defamatory, obscene, infringing, or that promotes illegal activity.
Platform terms. You will comply with the terms of service, policies and acceptable-use rules of WhatsApp/Meta and Telegram, including their rules on automated and bulk messaging. You acknowledge that these platforms may restrict, suspend or permanently ban accounts that engage in automated or bulk messaging, and that any such action against your account is your responsibility and risk, not ours.
Law. You will comply with all laws applicable to your messaging, including (where applicable) India's Digital Personal Data Protection Act, 2023, the Consumer Protection Act and its e-commerce rules, TRAI / TCCCPR regulations, and any anti-spam, telemarketing, privacy and data-protection laws in the jurisdictions of you and your recipients.
Data you control. You represent that you have the right to upload, store and process the contact lists and content you use with the Software.
No high-risk use. You will not use the Software for any use where failure could lead to death, personal injury, or severe environmental damage.

We may suspend or terminate your license for breach of this Section without refund.

4. Third-party platforms and non-affiliation

Sendora is an independent product. It is not created by, affiliated with, endorsed, sponsored by, or in any way officially connected with WhatsApp LLC, Meta Platforms, Inc., or Telegram Messenger. "WhatsApp", "Telegram" and related marks are the property of their respective owners. The Software interacts with these services through your own accounts; those services are provided by third parties under their own terms, may change or become unavailable at any time, and are outside our control. We are not responsible for the acts, omissions, availability, or account decisions of those services.

5. Fees, activation and license checks

The Software requires activation and periodic online license checks to enforce seat limits and license validity. During these checks the Software transmits limited information as described in our Privacy Policy. Fees, taxes, renewal and refund terms are as stated at the point of sale and in our published Refund and Delivery policies.

6. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, that it will work with any particular third-party service, or that your accounts will not be restricted or banned by WhatsApp or Telegram. To the extent a warranty cannot be disclaimed as a matter of law, any statutory rights you have as a consumer remain unaffected.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, data, goodwill, or the suspension or banning of any WhatsApp or Telegram account, arising out of or related to the Software or this Agreement. Our total aggregate liability for all claims will not exceed the amount you paid for the license in the twelve (12) months before the event giving rise to the claim. Nothing in this Agreement excludes liability that cannot be excluded by law.

8. Indemnification

You will defend, indemnify and hold us harmless from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Software; (b) the messages you send and the recipient lists you use; (c) your breach of this Agreement, including the Acceptable Use Policy; or (d) your violation of any law or third-party rights, including the terms of WhatsApp/Meta or Telegram.

9. Open-source components

The Software includes third-party open-source components. Their copyright notices and license terms are provided in our Third-Party Licenses and in the notices distributed with the Software. Those components are licensed to you under their own licenses, and nothing in this Agreement limits your rights under them. Where a component is licensed under the GNU LGPL, you may modify and relink that component for your own use as that license permits; the component's source and instructions are identified in the Third-Party Licenses.

10. Term and termination

This Agreement applies for as long as your license is valid. It terminates automatically if you breach it. On termination you must stop using and remove the Software. Sections 2, 3, 4, 6, 7, 8, 9, 11 and 12 survive termination.

11. Governing law and grievances

This Agreement is governed by the laws of India, without regard to conflict-of-law rules. The courts at Gudur, Nellore District, Andhra Pradesh will have exclusive jurisdiction, subject to any non-waivable consumer rights you have where you live. 12. General

This Agreement is the entire agreement between you and us about the Software and supersedes prior discussions. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may update this Agreement for new versions of the Software; the version accepted at purchase or install governs your use of that release. You may not assign this Agreement; we may assign it as part of a merger, acquisition or sale of assets.
